1. Basic Identification and Acceptance
These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "Data Principal", "you") and Sachin Rathod, operating as OuterCircle Labs ("PassPage", "we", "us", "our"), based in Ahmedabad, Gujarat, India.
By registering for, accessing, or using the PassPage identity wallet, web application, APIs, or developer SDKs (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use PassPage.
2. Description of Service
PassPage provides a user-controlled profile wallet that allows individuals to securely store, manage, and share personal identity attributes (specifically: full name, email address, mobile phone number, and physical addresses) with third-party applications and web platforms for frictionless onboarding and form autofill.
PassPage is an independent profile sharing and consent protocol. PassPage is not a government agency, statutory identity provider, or regulated KYC verification authority unless explicitly verified credentials are integrated in future updates.
3. Eligibility and Capacity
- You are at least 18 years of age and possess legal capacity to enter into a valid contract under the Indian Contract Act, 1872.
- If registering on behalf of a business or organization, you have authority to bind that entity to these Terms.
- You have not been previously suspended or prohibited from using PassPage.
4. Account Creation, Authentication and Security
Account setup may use Email OTP, Magic Links, Passkeys, or password authentication.
You are responsible for maintaining credential and device security and must notify PassPage immediately of unauthorized access.
Accounts are non-transferable. PassPage may suspend or terminate accounts for suspected fraud, compromise, or Terms violations.
5. User Obligations and Acceptable Use
You agree to provide accurate information in your identity profiles.
You agree not to:
- Use PassPage for unlawful, deceptive, or fraudulent purposes.
- Reverse engineer, tamper with, or circumvent security mechanisms.
- Use bots, scrapers, or abusive high-rate programmatic access.
- Impersonate individuals or entities.
- Store or transmit unrequested sensitive data such as Aadhaar, PAN, bank credentials, payment credentials, or biometric data.
6. Third-Party Applications and Integrations
PassPage transmits profile data to integrated third-party apps only after user consent.
After transmission, third-party terms and privacy policies govern downstream processing. PassPage is not liable for third-party breaches or misuse and recommends reviewing requested scopes before approving consent.
7. Data Sharing and Consent Model
- Scope granularity: Consent sheet clearly identifies app, purpose, and requested fields.
- Affirmative choice: Data is shared only after explicit approval.
- Revocation: Users may revoke future sharing anytime. Revocation does not delete data already shared externally.
8. Intellectual Property and Data Ownership
PassPage names, logos, trademarks, codebases, APIs, interface designs, and documentation are owned by OuterCircle Labs.
You retain ownership of your personal data and grant PassPage a limited non-exclusive license solely to provide the service and execute your consent instructions.
9. Disclaimers and Limitation of Liability
The service is provided on an "as is" and "as available" basis without warranties.
To the maximum extent permitted under Indian law, PassPage is not liable for indirect, incidental, special, punitive, or consequential damages. Aggregate liability is limited to the lower of fees paid in the prior 12 months or INR 1,000.
10. Indemnification
You agree to indemnify PassPage and its affiliates from claims, losses, or legal expenses resulting from your Terms violations, fraudulent submissions, or legal violations.
11. Termination and Account Deletion
You may terminate your account at any time through settings. Upon deletion, master profile, addresses, and active session tokens are removed according to data retention policy.
PassPage may terminate accounts without prior notice for Terms breach or legal/regulatory requirements.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes are subject to courts in Ahmedabad, Gujarat. Parties agree to attempt amicable resolution through the Grievance Officer before litigation.
